Please read these Terms & Conditions ("Terms") carefully. By purchasing, registering, subscribing to, downloading, accessing, or otherwise using any WebiDebi product, website, subdomain, or service (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

In these Terms, "WebiDebi", "we", "us" and "our" refer to WebiDebi India Private Limited, a company incorporated in India. "You" and "your" refer to the user, account holder, or subscriber.

These Terms should be read together with our Privacy Policy and Refund & Cancellation Policy, which are incorporated into these Terms by reference.

1. Services Covered

WebiDebi may offer one or more of the following:

• Growth Kit — digital business growth resources, tools, templates, and downloads
• Digital Profile — a hosted business profile page, published on a WebiDebi subdomain
• Smart Website — a hosted, ready-to-use one-page business website, published on a WebiDebi subdomain
• Trust Badges — optional, paid display badges ("Verified Badge", "Trusted Business Badge") shown on your Digital Profile and/or Smart Website (see Section 8)
• Hosting Maintenance — an optional recurring maintenance plan
• Premium Upgrade Services — one-time paid services including file downloads (ZIP export), setup on your own hosting, and done-for-you launch, including domain and hosting guidance (see Section 9)
• Change Requests — requested edits, updates, or redesigns to your Profile or Website
• Consultation — paid one-on-one or group business consultation sessions, scheduled and conducted through our scheduling and video-meeting tools
• Renewals & Subscriptions — monthly or yearly recurring access plans
• Custom services — additional design, content, or marketing work as agreed in writing

We may add, modify, suspend, or discontinue any Service, feature, plan, template, or badge at any time. Where a change materially reduces a paid feature you are currently subscribed to, we will make reasonable efforts to notify you in advance.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction. By using the Services, you confirm that you meet these requirements and that all information you provide is accurate, current, and complete.

3. Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Providing accurate, current, and complete information
• Notifying us immediately of any unauthorised access or suspected breach

You may create an account using an email address and password, or through a supported third-party sign-in provider (such as Google). Where you sign in through a third-party provider, your use of that provider is subject to its own terms.

We are not liable for any loss arising from unauthorised use of your account where you have failed to safeguard your credentials.

4. Pricing, Taxes & Invoicing

Prices may vary by country, currency, taxes, promotions, or plan. Prices displayed to customers in India are inclusive of Goods and Services Tax (GST) unless expressly stated otherwise; prices displayed in other currencies are exclusive of any taxes, duties, or levies that may apply in your jurisdiction, which are your responsibility. A tax invoice will be issued in accordance with applicable law.

Your country and currency may be detected automatically from your IP address, and you may change your country selection before purchase. The currency and amount shown at checkout, and confirmed by the payment gateway, is the amount that will be charged.

Invoices and receipts are made available in your account dashboard. You are responsible for downloading and retaining copies for your records. If you require a GST input-credit invoice, you must supply a valid GSTIN and registered business name and address before completing payment; we are not obliged to reissue or amend an invoice after payment to add tax details that were not supplied at the time of purchase.

We may update pricing at any time for future purchases. Existing prepaid terms remain valid until expiry unless otherwise stated.

5. Subscriptions, Auto-Renewal & Mandates

Monthly or yearly plans renew automatically unless cancelled before the next billing date.

By subscribing, you authorise us and our payment gateway to set up a recurring payment mandate (including, where applicable, a UPI AutoPay, card, or e-mandate arrangement) and to charge the applicable amount to your chosen payment method on each renewal date, in accordance with the rules of the relevant payment network and the Reserve Bank of India.

• Cancellation stops future billing only. It does not refund charges already made.
• On cancellation, your Profile, Website, and any attached Badges remain active until the end of the billing period you have already paid for, and are then unpublished.
• It is your responsibility to cancel before renewal if you do not wish to continue.
• If a renewal payment fails, or a mandate is revoked, expires, or is declined, we may suspend, downgrade, or unpublish your Profile, Website, Badges, or other Services until payment is completed.
• Where a plan is paused, halted, expired, or cancelled, the associated published pages will display an "unavailable" notice rather than your content.

Changing a plan (including adding or removing a Badge) may create a replacement subscription that begins on your next billing date, with the previous subscription scheduled to end on that same date, so that you are not charged twice for the same period. You may be asked to approve the updated mandate once; no additional amount is charged at the time of that approval.

6. Growth Kit / Digital Downloads

Upon successful payment, access may be granted instantly or within a reasonable delivery time. Downloads and digital materials are licensed for your own business use unless otherwise stated. Resale, redistribution, sub-licensing, piracy, or sharing of access or files is strictly prohibited and may result in immediate termination without refund.

Where a Growth Kit purchase includes a promotional free period (for example, a free first month on a Digital Profile), that promotion applies once per eligible customer, is non-transferable, has no cash value, and may be withdrawn or modified for future purchases.

7. Profiles, Websites, Subdomains & Drafts

7.1 Your content and your leads

You are solely responsible for the content you submit, publish, or collect through your Profile or Website, including any leads or enquiries you receive. We may remove, suspend, unpublish, or refuse to publish any content that we reasonably consider to be unlawful, defamatory, infringing, misleading, spammy, abusive, harmful, or in breach of these Terms or any law.

7.2 No guarantee of results

We do not guarantee any search rankings, indexing, traffic, leads, sales, conversions, business results, or uninterrupted or error-free uptime.

7.3 Publication is conditional on an active plan

Published Profiles and Websites remain accessible only while the associated plan is current and paid. On expiry, non-payment, failed renewal, cancellation at period end, suspension, or termination, we may unpublish or remove them without further notice. Restoring access after payment is resumed may not restore analytics, view counts, or enquiries received during the unpublished period.

7.4 Subdomains and page addresses (slugs)

Profiles and Websites are published on WebiDebi-controlled subdomains (for example, a profile subdomain and a website subdomain) using a page address ("slug") you select, subject to availability. You do not acquire ownership of, or any right in, any WebiDebi subdomain, domain, or slug. We may reclaim, change, or reassign a slug where it is unused, infringes a third-party right, impersonates another person or business, is offensive, or is otherwise in breach of these Terms.

7.5 Bundled free Digital Profile

Where a Smart Website plan is advertised as including a Digital Profile at no additional cost, that Profile is included for as long as the Smart Website plan remains active. It is not a separate, independent subscription. If the Smart Website plan ends, the included Profile is unpublished at the same time.

7.6 Drafts and unpaid items

Content you build but do not pay for may be saved to your account as a draft. Drafts are not published, are not publicly accessible, and confer no right of publication. We may delete drafts after a reasonable period of inactivity. Nothing in a draft creates an obligation on us to publish it.

7.7 Complimentary and promotional access

We may, at our sole discretion, grant complimentary or promotional access to any Service (including activating an unpaid item free of charge). Such grants are a discretionary courtesy, may be limited in scope or duration, may be revoked at any time, are non-transferable, and have no cash value.

8. Trust Badges — Important

Trust Badges ("Verified Badge", "Trusted Business Badge", or similarly named badges) are optional, paid, decorative display features that appear on your Digital Profile and/or Smart Website while the corresponding paid add-on is active.

You expressly acknowledge and agree that:

1. A Badge is not a verification, certification, accreditation, endorsement, licence, audit, background check, or guarantee by WebiDebi of your identity, legal status, registration, credentials, qualifications, solvency, honesty, product quality, or the accuracy of any statement on your page.
2. WebiDebi does not independently verify, investigate, or vouch for any business that displays a Badge, and performs no due diligence as a condition of a Badge.
3. A Badge does not create any reliance, warranty, or representation to any visitor, customer, or third party, and no third party may rely on it as such.
4. Badges are attached to a Profile or Website plan, are billed on the same billing cycle as that plan, and remain visible only while both that plan and the Badge add-on are active and paid.
5. If a Badge is cancelled or its plan ends, the Badge is removed from the public page, generally at the end of the paid period.
6. We may withdraw, suspend, or refuse a Badge at any time, with or without notice, including where we reasonably believe it is being used to mislead, impersonate, or deceive, or where your content breaches these Terms. Where a Badge is withdrawn for breach, no refund is due.
7. You must not describe, market, or represent a Badge to any third party as an official verification, certification, government approval, or endorsement by WebiDebi.

You indemnify us in respect of any claim by any third party arising from your display or description of a Badge.

9. Premium Upgrade Services, Credentials & Third-Party Accounts

Premium Upgrade Services may include exporting your files, uploading and configuring your Profile or Website on your own hosting, connecting your own domain, SSL configuration, and end-to-end launch assistance.

Where you request such services:

• You must have the lawful right to grant us access to the accounts, domains, hosting, or services concerned.
• You may be asked to provide credentials or access to third-party accounts. You do so at your own risk. You must, wherever possible, create limited-scope or temporary access, and you must revoke access promptly once the work is complete.
• We store any credentials you supply using reasonable security measures and use them solely to perform the requested work. We are not responsible for the configuration, availability, security, billing, suspension, or terms of any third-party domain, hosting, DNS, email, or platform provider.
• Domain registration and renewal charges, premium domain pricing, hosting charges, and third-party fees are not included unless expressly stated in writing.
• Timelines given are estimates and are dependent on your timely provision of information, content, access, and approvals.
• Once work has commenced, the service is treated as substantially started for the purposes of our Refund & Cancellation Policy.

Change Requests are subject to scope, fair-use limits, and availability, and may be chargeable where they exceed the scope of your plan or amount to a redesign or a new build.

Hosting Maintenance plans cover the maintenance activities described at the point of sale for the period paid for. They do not include new features, redesigns, content creation, or third-party charges unless expressly stated.

10. Consultations

Consultations are advisory in nature and are provided on a best-effort basis. They do not constitute legal, financial, tax, investment, medical, or other professional advice, and you are solely responsible for any decisions you make and any outcome.

Consultation times are subject to scheduling availability and may be conducted via third-party scheduling and video-meeting tools. Sessions may be recorded only with notice and, where required, consent. Late arrivals, no-shows, abusive conduct, or repeated rescheduling may forfeit session rights without refund.

11. Intellectual Property

Our designs, systems, software, source code, branding, templates, badge artwork, and materials remain the exclusive property of WebiDebi (or our licensors) unless expressly transferred to you in writing. Nothing in these Terms grants you any right to our trademarks, logos, badge marks, or proprietary technology except the limited right to use the Services as intended.

Where you purchase a file export or download, you receive a non-exclusive, non-transferable licence to use the exported files for your own business. You may not resell, redistribute, sub-licence, or use them to provide a competing service, and you may not remove or obscure attribution where it is required by your plan.

You retain ownership of the content you upload. See our Privacy Policy for the limited licence you grant us to host and display it.

12. User Responsibilities & Prohibited Use

You agree not to use the Services for any of the following:

• Fraud or financial deception
• Impersonation of another person, brand, or business
• Phishing, scams, or social-engineering attacks
• Distributing malware, viruses, ransomware, or harmful code
• Copyright, trademark, or intellectual-property infringement
• Harassment, hate speech, or threats
• Spam, bulk unsolicited messaging, or unauthorised marketing
• Displaying a Badge in a misleading manner, or misrepresenting what a Badge means
• Attempting to publish, unpublish, modify, or access any page, account, or record you are not entitled to
• Circumventing, disabling, or interfering with payment, access-control, security, rate-limiting, or captcha mechanisms
• Automated scraping, bulk downloading, or reverse engineering of the Services
• Collecting or misusing the data of people who contact you through your pages in violation of applicable law
• Any unlawful, deceptive, or harmful activity

You are responsible for your compliance with all laws applicable to your business and your communications with your own customers and leads, including consent requirements for marketing.

13. Third-Party Services

The Services rely on third-party providers, including (without limitation) payment gateways (such as Razorpay), hosting and infrastructure providers (such as Hostinger), scheduling and video-meeting providers (such as Google), sign-in providers, security and captcha providers (such as Cloudflare), and geolocation providers. We are not responsible or liable for the acts, omissions, downtime, errors, pricing, or policies of these third parties. Your use of third-party services may be subject to their own terms.

14. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, free of data loss, or that any particular result will be achieved.

You are responsible for keeping your own copies and backups of your content.

15. Limitation of Liability

To the maximum extent permitted by law, WebiDebi (and its directors, employees, and agents) shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, data, goodwill, leads, or business opportunity, arising out of or relating to the Services.

Our maximum aggregate liability for any claim shall not exceed the amount actually paid by you to us for the specific Service giving rise to the claim during the three (3) months preceding the event.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including under applicable consumer-protection law.

16. Indemnification

You agree to indemnify, defend, and hold harmless WebiDebi and its directors, officers, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Services; (b) your content, your Badge display, or the leads/data you collect; (c) your violation of these Terms or any law; (d) your infringement of any third-party right; or (e) any credentials or third-party access you provide to us.

17. Suspension & Termination

We may suspend, unpublish, or terminate access for violations, fraud risk, abuse, unpaid dues, failed renewals, chargebacks, or legal reasons, with or without prior notice.

On termination, your right to use the Services ceases immediately, and your Profiles, Websites, and Badges may be unpublished and subsequently deleted. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

You may close your account at any time from your account settings or by contacting us. Closure does not entitle you to a refund of amounts already paid.

18. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, power or internet failures, hosting or third-party outages, payment-gateway or banking failures, cyber-attacks, strikes, government action, or other force-majeure events.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at Delhi, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

20. General

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor entity. These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and WebiDebi.

21. Changes

We may revise these Terms at any time. The updated version becomes effective when posted, with a revised "Last updated" date. Continued use of the Services after a change is posted means you accept the updated Terms.
